Deal includes $1.8 billion cash plus $200 million AI earnouts
French software maker Dassault Systemes said Thursday it has agreed to buy ArisGlobal, a U.S. supplier of software to the life-sciences industry, from private-equity firm Nordic Capital for up to $2 billion, as the company seeks to bolster its artificial-intelligence offering.
The deal is structured as about $1.8 billion in cash at closing and up to $200 million in additional payments linked to AI-related revenue targets, Dassault Systemes said. The company said the acquisition would allow it to capitalize on the life-sciences industry’s shift toward AI and precision medicine.
Dassault Systemes expects the acquisition to contribute to revenue growth and earnings per share in the first year after completion. The transaction is anticipated to close in the second half of 2026, subject to regulatory approvals and other customary conditions.
Nordic Capital acquired majority ownership of ArisGlobal in 2019.
